Terms of Service

1. Who we are

These Terms of Service ("Terms") govern your use of Bina, an AI-first business operating system operated by Missan Group of Companies ("Bina", "we", "us"), a UAE company headquartered in Dubai. By creating an account or using the service, you agree to these Terms.

2. Your account

You must provide accurate information, keep credentials confidential, and notify us promptly of any unauthorised access. You are responsible for everything that happens under your account, including actions taken by team members you invite.

3. Acceptable use

Don't: use Bina for unlawful purposes; resell, sublicense, or white-label without our written consent; reverse-engineer the platform; abuse the AI assistant for harmful outputs; circumvent rate limits or access tiers you haven't paid for; or upload content that infringes third-party rights.

4. Subscriptions and payment

Paid plans are billed monthly in AED. We charge in advance for the upcoming billing cycle. Card processing fees go to your payment processor (Stripe), not to us. You can upgrade, downgrade, or cancel at any time; changes take effect on the next cycle. Unused time on an annual prepayment is non-refundable except where required by law.

5. Free tier

The free tier is offered as-is, with the limits stated on the pricing page. We may adjust free-tier limits on 30 days' notice. Free-tier accounts that go inactive for 12 months may be archived; you can request a data export before archive.

6. Your data

You own the data you enter into Bina (menus, orders, customer details, etc.). We process it on your behalf to operate the service. We don't sell your data and don't train AI models on tenant-specific data. See our Privacy Policy and DPA for details.

7. AI features

Bina uses third-party large language models (currently Anthropic Claude) to power the assistant. AI outputs are best-effort and not guaranteed to be correct. Don't rely on AI outputs for legally binding, medical, or critical safety decisions without human review.

8. Service availability

We aim for high uptime and publish real-time status at /status. We don't guarantee uninterrupted service on the free tier. Paid tiers have SLAs as published in your order form. Scheduled maintenance is announced where practical.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim relating to Bina is capped at the fees you paid in the 12 months preceding the claim. We aren't liable for indirect, consequential, or special damages, including lost profits, lost data, or business interruption.

10. Termination

Either party may terminate for material breach not cured within 30 days of notice. On termination, you can export your data for 30 days; after that we delete it within 90 days unless legal obligations require longer retention.

11. Changes

We may update these Terms. Material changes are notified by email at least 14 days before they take effect. Continued use after the effective date is acceptance.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates. Disputes are resolved in the courts of Dubai, except that we may seek injunctive relief in any jurisdiction.
